This company sends letters to unsuspecting corporations that look and read as though they are from a gov't agency with a requirement to file corporate meeting minutes through their service. There is no such requirement! Any company can do this for themselves or through their own attorney. They tell you to fill out and submit their form with an "annual fee of $125 within 10 business days" to be in compliance with New York State law, and in return they will mail you your corporate minutes.

The letter contains very small "fine print" that says that their service is not approved by any gov't agency, but this disclaimer is very easy to miss. The letter, called "Annual Minutes Disclosure Statement," looks like an official notice from the state and most people who do not know the law would respond to it right away.

I have searched the Internet and found many reports and examples of this particular scam, especially in California but also in Oregon, and now here in New York. Anyone who receives a letter like this should check it out with their state's department of corporations before they send in any money.
