USPN has ripped off HCT and its customers. Carl Newlen is a DEAD BEAT VENDOR. He takes money for orders and NEVER delivers.

High Conversion Traffic, LLC, was formed to be a reseller for Internet marketing services provided by Carl Newlen, DBA USPN Internet. Relevant excerpts from the reseller agreement between HCT and USPN are stated below:

1. Parties

Whereas High Conversion Traffic, LLC, a Nevada Limited Liability Corporation, herein referred to as 'HCT", and Carl Newlen, the proprietor of directory web site producing software and Internet spidering database, herein referred to as 'USPN", wish to enter into a
reseller / supplier agreement as of December 8, 2003, for the purpose of HCT (RESELLER) selling the USPN (VENDOR) web site directories with the complete database support.

3. …USPN agrees to build the Directory within fifteen (15) days of receiving payment in

full from HCT.

8. Indemnification

USPN indemnifies HCT and holds HCT harmless for the lack of performance of USPN's Directory

software. In the event USPN's software causes harm to HCT's customer, USPN agrees to make

HCT and it's customer whole.

9. Non-Circumvention

Each of the undersigned hereby agree, warrant and covenant not to, in any way whatsoever, CIRCUMVENT or attempt to CIRCUMVENT each other, in any present or future transaction. USPN shall not circumvent HCT and attempt to, or do business with, HCT's CUSTOMERS, suppliers, distributors, franchisors, OEMs, technology provider(s), strategic business partners and other such business relationships that are integral to the business processes covered by this agreement. Additionally, the undersigned will not attempt to contact, deal with, or in
any manner solicit the CONTACTS introduced to them by the other at any time or in any manner, without the written consent of the party introducing said contact, as well as enter into any agreement or other arrangement whereby they expect to make money, either directly or indirectly without the written consent of the referring party. USPN SHALL NOT SOLICIT HCT's customer(s), vendor(s), technology provider(s) and strategic partner(s) for a period of three (3) years from the date of termination of this agreement.

10. Remedies:

Any violation of the preceding paragraphs shall be settled in the courts of the State of Nevada or any international Court (if business is transacted outside of the United States), and, if determined that the USPN has violated this provision, the USPN hereby agrees to remunerate HCT, its assignees and designees, the full amount of remuneration it would have received had it been involved with the transaction, plus all court costs, reasonable attorney fees, and other charges and damages deemed fair by the Court.

11. Authorization:

Each party, (where 'Party" is defined to include any person, partnership, firm, corporation and/or legal entity) by its execution hereof, represents, warrants and covenants to the other party as follows: (i) that such party has the full right, power and authority to enter
into this Agreement and to perform its obligations hereunder and that this Agreement is valid and binding upon and enforceable against such party in accordance with its terms, (ii) that the execution and delivery of this Agreement and the consummation of the transactions
herein provided will not result in the breach by such party of any of the terms or conditions thereof or constitute a fault under or in any manner release any party from any obligation of any kind or matter to which such entity is a party or by which it may be bound or affected.

Despite this contractual agreement, Carl Newlen directly engaged in a practice of hiring away two of the three managers of HCT, and they made employment offers to all of HCT's sales representatives. With the cooperation of the two HCT managers, USPN commandeered all of the furnishings, equipment and the facility from which the HCT sales operation ran. This action had the effect of gutting HCT and dramatically impairing HCT's ability to function as a normal business operation. To compound matters, Newlen has directly contacted HCT customers to have them pay their contract to USPN, in complete violation of the Reseller Agreement, which he signed.

Furthermore, Carl Newlen, DBA USPN, HAS BEEN PAID IN FULL FOR ALL SERVICES covered in the resellers agreement, but USPN has FAILED to deliver the services. Currently, HCT accounts for OVER TEN directories for which USPN was paid for in full but which Carl Newlen has FAILED TO DELIVER. These orders were placed and paid for as far back as December, 2003.

HCT has on file all contracts and customer payments made officially to HCT. If you have made a payment AFTER MARCH 5, 2004, OR SIGNED OVER YOUR CONTRACT TO USPN, PLEASE REPORT SUCH

If you feel harmed by the non-delivery of your directory, HCT will join you in a class action suit against Carl Newlen. Please file your own Rip-off Report so a class action may be started.

HCT needs your assistance to stop this type of Internet abuse. Carl Newlen, DBA USPN, needs to be accountable for his actions. Your cooperation will aid HCT in this endeavor.

Sour Grapes From A Fraudulent Company

First of all, we did enter into an agreement with HCT for them to market our products. That is where the factual part of this complaint ends.

Then it was brought to my attention that Roger Wilde and HCT had reports posted on this web site. I put the links below. After investigating the claims, I found them to have merit. I also uncovered other issues related to Roger Wilde (although I guess he goes by several names, and if you look at his addresses, he is either in Las Vegas, Irvine, or someplace in the Midwest).

I could not have my Company associated with them any longer so I asked for and received a judgment nullifying the agreement.

Since there were innocent customers who were caught in the middle, we have, at our own expense, maintained their accounts and we will continue to do so. It is up to HCT customers if they want to work with HCT.

It is unfortunate that this matter has to be aired here, and it is certainly a mess, but we have nothing to hide.

Would you want your company involved with the likes of HCT? Would you do business with a company who was associated with HCT?

I made the right move to cut all ties.
