I, "SDM", made this posting with the unfounded accusations in an effort to gain an advantage in order to get out of my contractual obligations. When Venulum learned of my statements on this website, it offered to deliver my fully paid wine as that is what the contracts require, but I refused to take delivery. I hired a securities attorney who reviewed the Venulum Contract that I had signed and determined that it was a valid agreement and that Venulum had done nothing wrong.
As to SEC links in the posting, Venulum sent a letter to me in February 2012 disclosing the SEC resolution shortly after it was finalized. What I did not write in the posting, but is apparent if you read the SEC documents, is that the SEC final orders do not contain any finding of misrepresentation or fraud by Venulum. Likewise, the SEC imposed no penalty, fine, or required disgorgement, and did not seek to enjoin Venulum from making future sales of securities. The order simply requires that Venulum make any future sales pursuant to an applicable securities exemption or by registering the securities.
