I received an envelope with documents to be completed for 2012-Annual Minutes Records Form - Shareholders, Directors and Officers.  The company I work for has retail operations in every state in the United States, including Florida, so it's not unusual for us to receive corporate documents and reports that need to be filed and fees to be paid annually or biennially in order to maintain good standing.   Given that the notice I receive from Florida Dept. of State is generally printed on a postcard to decrease cost and paper use, this set of documents arriving in an envelope struck me as odd.  The document contains the name of our company, it's corporation number and incorporation/qualification date; basically enough information to gain my attention and keep me from pitching this stuff in the trash.   The form is official looking and cites chapters from the Florida Business Corporations Act providing that Florida corporations must hold a meeting of shareholders annually and maintain records.   While the citation is correct, the requirements pertain ONLY for corporations that are FORMED under Florida corporation law, not for corporations that are incorporated elsewhere and foreign qualified to transact business in Florida, like mine.  The form provides instructions to complete it and return it along with a check in the amount of $125 made payable to Corporate Records Service, in the provided envelope.  While I'm certain this company, Corporate Records Services, will prepare and provide corporate minutes for the $125 fee, in the case of my company, it's a totally unnecessary service and would be a waste of money given that the provisions for annual meeting are inapplicable given our foreign corporation status.  The form clearly states in upper-case bold lettering that CORPORATE RECORDS SERVICES IS NOT A GOVERNMENT AGENCY AND DOES NOT HAVE OR CONTRACT WITH ANY GOVERNMENT SERVICES TO PROVIDE THIS SERVICE.  This is placed under the citations, so it sort of blends in.  While Corproate Records Services may not be trying to intentionally deceive you, at the bottom on the form, the web address to file an annual report with Florida Dept. of State at www.sunbiz.org is given, which I think is a bit misleading as some may be confused into believing that an affiliation exists between the Florida Dept. of State and Corporate Records Service when in fact there is no such affiliation.  Since I haven't paid Corporate Records Service any money, I can't call them a scam (to me a scam is a company that takes your money and doesn't provide the promised services), but they aren't what they appear to be at first glance.  Read the documents carefully and understand that this is a services company with absolutely no affiliation with the Florida Dept. of State.

    Corporate Record Services PO Box 5618 Tallahassee  is not useful at all ==  It's at rip off and it should be shut down all together == They try to be misleading , if they were not they wouldn't try so hard to look like you'll be in trouble if you don't fill out the form and pay them == They try very hard to look like a government office of some type and you'll be in big trouble if you don't do what they say ==   I think people that do this type of thing should be arrested and sent to jail == They should have to pay  $ 125 to eveybody they sent this rip off attempt to ==  Something really should be done about this type of thing == It's hard enough to run a small business without people trying to steal from you == It's just not right == It makes me wonder how many people fell for it == They should all get thier money back ===

EM, you are correct.  They've been posting on multiple sites trying to make people think they have a true purpose.  They do not, and this is a complete scam.  They're dancing around the law, and it should be illegal.  If more people complain about it, maybe someone will shut them down.  In Florida you DO NOT have to file annual minutes!!! The letter definitely is trying to scare you into giving them $125.00 DO NOT DO IT

It seems that you are posting the exact same comment on any site that has negative comments about Corporate Record services. Leads me to believe you are an employee of that company. They are very misleading & make it seem as if you have to use their services. It's hard enough for small businesses today & I don't appreciate other companies sending you misleading information.

Received Similar Letter in Georga- Misleading

I received a simialr letter from Corporate Records Search about filing my company's 2012 corporate "report" as "required" by a Georgia code that they printed.  This is a mis-representation.  Georgia only requires filing a "registration"  as stated in the referenced code.  Also, you can file the required registration on line in a couple minutes or mail the pre-addressed form that the Georgia Secretary of State mails you each year for FREE and save $125.00.  I am sure that they will be glad to file your annual registration for this substantial fee, but their letter makes it states that you have to also file a "report," which is untrue.  Filing corporation annual minutes in Georgia is not required, but may be required in other states.  I am only familiar with Georgia, I am not a lawyer, and do not know about foreign or out of state corporations

Corporate Record Service is actually a legitimate service company that does in fact provide a service that book keepers, attorneys, and companies all over the country provide for their clients. While the Corporate Records service does charge $125 you would usually pay anywhere from $300 to $500 for the same exact service if provided by any of the above listed.

 Anyone talking negatively about this service should research it like I did and they will realize they are simply trying to provide an important service and save you money at the same time. I am very grateful I found and used this company they saved me over $250 this year.
