Notice of HearingMyron Sullivan II a.k.a. Fred Myron George Sullivan,
Global Response Group (GRG) Corp., and
IMC International Marketing of Canada Corp.
(collectively, the Respondents)

Section 161 of the Securities Act, RSBC 1996, c. 418

1 The Commission will hold a hearing (Hearing) at which the Executive Director will tender evidence, make submissions and apply for orders against the Respondents under sections 161, 162 and 174 of the Securities Act,RSBC 1996, c. 418 (the Act), based on the following facts:
Background 
1. Myron Sullivan II a.k.a. Fred Myron George Sullivan (Sullivan) is a resident of British Columbia. 

2. Global Response Group (GRG) Corp. (GRG) and IMC International Marketing of Canada Corp. (IMC) are each British Columbia companies. 

3. Sullivan is the director, President and Chief Executive Officer of GRG and the director and officer of IMC. 

4. Sullivan promoted GRG as a company possessing oil spill clean-up and fire fighting technology, including the worlds 1st and only fully amphibious near-shore and shoreline oil spill recovery system, which he called the MUSKOX system. He used IMC to receive money from persons who invested in GRG.

Misconduct
Illegal distribution
5. Between 2008 and 2011, Sullivan raised approximately $1.74 million from 97 investors by selling GRG shares from his personal holdings, which he acquired directly from GRG. 

6. At all relevant times, Sullivan was the control person of GRG and, as of 2011, held approximately 50% of its issued and outstanding shares.

7. Sullivan did not file a preliminary prospectus or a prospectus in respect of any of his distributions of GRG shares and no exemptions from the prospectus requirements of the Act applied to them.

8. On June 1, 2011, the Commission issued a Cease Trade Order against Sullivan for his failure to file a prospectus in respect of his distributions of GRG shares. 

9. The Respondents distributed securities contrary to section 61 of the Act by:
(a) trading in a previously issued GRG security from the holdings of a control person; and 

(b) participating in a series of transactions involving further purchases and sales in the course of or incidental to a distribution of GRG shares.
Misrepresentations
10. To entice investors to invest in GRG, Sullivan told investors that:
(a) GRG shares would soon be publicly listed on a stock exchange;

(b) once GRG was publicly listed it would trade at a specified price; and

(c) GRG had sold the MUSKOX system to the Chinese National Petroleum Company (CNPC).
11. These statements were false or misleading as:
(a) GRG had not taken any steps to become publicly listed; 

(b) Sullivan told different investors different prices and had no basis for making any share price predictions for GRG as he had done nothing to publicly list the company and the company had no sales; and

(c) GRG had not sold the MUSKOX system to CNPC as it had not manufactured a working prototype to the technical specifications and other requirements required by the letter of intent as preconditions to a sale.
12. Sullivan told two investors who invested $145,000 that he would use their money to develop GRGs business. Instead, he spent at least 40% of their funds on personal items.

13. Sullivan promised two investors who invested $27,071 that he would provide them with GRG share certificates, but did not provide them.

14. In making the above misrepresentations, either directly or through their directing mind Sullivan, the Respondents acted contrary to section 50(1)(d) of the Act. 

Fraud
15. By engaging in the conduct described above, the Respondents perpetrated a fraud contrary to section 57 of the Act.

Public interest 2 It is in the public interest that the Commission issue orders under sections 161 and 162 of the Act.
Hearing Process 3 The Respondents or their counsel are required to attend at the 12th Floor Hearing Room, 701 West Georgia Street, Vancouver, British Columbia, on April 17, 2012, at 9:00 a.m. if they wish to be heard before the Commission sets a date for the Hearing. Relevant information gathered by Commission Staff in the investigation of this matter will be disclosed to the Respondents upon request to the Executive Director.

4 At the Hearing, the Respondents may be represented by counsel, make submissions and tender evidence. Myron Sullivan is a professional con man who has recently spent thirty days in a Canadian jail and has been involved in numerous different court cases over the last 15 years. About 20 different cases in all. Myron Sullivan is well known to West Vancouver Police and BCSC. He recently ripped off a lady in West Vancouver giving her worthless shares in his company so that he could live in her house on the water for one year. He is very dangerous and will tell you anything to extort money from you. Large companies are simply not interested in his technology which is simply not viable. The BP oil spill only reaffirmed this. The article in Popular Science is purely speculative and and offers no evidence that this technology is viable. In fact Mr. Sullivan has never provided any evidence that any of his ideas are viable. The F2T fire retardant does not work at all. Do not give this man any money. You will never see or hear from this man again after he steals your money.

Sir, Will you tell me about the viability study a gentleman with the initials BC had done? Didn't think so. Its a secret... bad for the company. Maybe get a real job Mr. Sullivan and work for your own money instead of stealing from unqualified investors. I have dug up 20 years and millions of dollars worth of info on your lies and scams. You are not a nice person.
I have a lot of people who agree with me but do not want this shame attached to their name. Nor do I anymore.

Sir can you give me one character reference about yourself? Dave Gordon or your wife Eva don't count.

The person who filed the original ripoff report launched a personal vendetta in an attempt to create a scandal to slander my name and even to criticize the patented technology of my company, despite the fact that she has zero qualifications to be able to provide any valid comments about my technology.



Many qualified oil industry professionals and oil spill experts believe in and support this technolgy and articles have been published about it by reputable magazines, including "POPULAR SCIENCE". Hi everyone,

For those of you not personally involved in this civil class action against Myron Sullivan, the reason for my including you in this email is because between Myron Sullivan and David Gordon (I really like David), I have not gotten fully paid for my executive assistant position that I held with GRG and Myron Sullivan.

Mr. Sullivan still owes me money and although I have been trying to collect the $1500. that he still owes me, I have been unable to do it.  I have emails stating that he will do it, or that David Gordon has to do it and after daily for four months now, they will not answer my calls nor will they take the responsibility of paying me what I owe.  I know that I am not an investor, but I live on the money that I make, and I need it for daily living expenses. 

I have called and left daily messages for these two men telling them that because I am not working that I really need this money to help me out, that I have rent due and unpaid bills.  It has come down to me getting an eviction notice from my place of residence and my services are getting turned off, one by one.

I don't know about you, but I have never in my career not got paid for work or expenses for work that I have done.  I am tired of waiting and unless this is taken care of by this Friday July 23, 2010... I have instructed the lawyer that I have attained to proceed with the civil class action against Mr. Sullivan, David Gordon and GRG.  This class action will also include the invitation of the press to attend and all information will be given to them about this company and what has been illegally going on.  I have the documentation and witnesses to back me up and liens will be placed on all bank accounts, company accounts and against Mr. Sullivan and Mr. Gordon for the amount of my action.  When this goes to court, I will asking for more than the 1500. that they have not paid me but also for damages.

I do not want to hurt the people who have invested money with this man, but if you cannot pay the "little people" within your employ, how can you be trusted to care for the people who have invested millions of dollars and expect they to trust that he will be fair and has your best interest in heart.  I have included the email addresses of all the investors and so called Board of Directors that I have, so that everyone knows who everyone is in case any of you need that information for class action suits of your own.

I hope that this email can be a persuasion to just pay me, so that I can move on, his company can move on and this daily anxiety in my life can be put at rest.

Potential Investors, Please Be Aware!! Over the past 15 years, Myron Sullivan has stollen millions of dollars from innocent investors throughout Greater Vancouver and the USA selling an oil spill recovery system (Aeros System) that is simply not viable. Mr. Sullivan has refused to cooperate with shareholders in any way. He has refused to reveal where the millions of dollars he has raised have been spent. He has refused to publicly reveal a shareholders registry and he has refused to hold an AGM for a number of years now. The majority of the original board of directors have resigned from Global Response Group and are no longer on the website for the company. Please be aware of this very dangerous individual and do not invest any money with his company. Numerous complaints have being filed with the West Vancouver police and Myron Sullivan is currently under investigation. Any share you receive in the company Global Response Group are completely worthless. In the 15 years Myron Sullivan has been operating, nothing has been achieved apart from a highly speculative article in Popular Science magazine and a couple of low budget commercials shown on PBS in the USA. The horrendous BP Deep Horizon oil spill in the Gulf of Mexico has only confirmed that oil companies are simply not interested in the Aeros System. Myron Sullivan can pay off a couple of engineers to endorse his product and to say that it is theoretically possible but words mean absolutely nothing. No prototype of Aeros has ever being built in 15 years for the simple reason that this speculative technology is simply not viable. Furthermore, Myron Sullivan has gone to court over 20 times in the last 20 years which reveals alot about his low character. Mr. Sullivan will tell you absolutely anything in order to coerce you into investing with his company. PLEASE do not be victimized like others before you. Stay away from Global Response Group and Myron Sullivan!

The money I gathered for you was intended and confirmed to go toward buiding a prototype of Aeros and not your personal life. Will you please resign so the World can make use of Aeros...Aeros can be successful but you wont let it.

As said I will be happy to discuss this with you publicly sir. I am not mentally disabled Mr. Sullivan, I am angry that you conned me out of my mother's hard earned money to waste foolishly as you do over and over on silly things like botox and breast enhancement. I am angry at myself that instead of buying my daughter's braces I believed a liar like you and gave you all of my money. I am angry at myself for believing your lies for so long. If you have honour or integrity where is the proof. Over and over we have discovered proof showing lies and scams, rip offs on every level. I would welcome your proving me wrong sir. Surely you have more proof of your integrity than we do. Frankly we did not find any proof that you are honorable sir.  Furthermore, I know that you are not who you pretend to be. Please tell us who you are and exactly what you are up to. Prove your claims for once and stop trying to divert to just talking. That is what a con man does...makes claims he cannot prove but the talk is convincing. That has got you far.

Instead of speaking on the phone to people who may want answers to questions the ripoffreport site gives you a place to respond. I clearly asked you to respond to the allegations and you responded by saying I am disturbed. Why not respond with proof I am wrong sir?

Since you mention the TV ads why dont you explain Why you have been featured in said ads (making sure this can be verified easily as so many things you say cannot)

Why did you change your name to Myron Sullivan 11?

Who is Myron Sullivan 1?

Where is all the money you have raised since Exxon Valdez? That seems a lot of time and money to build a prototype.

Why has there NOT been an AGM in three years since you took money from my family claiming it would be a short term investment of several months?

Why do you never account to shareholders for their money you took to build a prototype then did not have it for the Deepwater Horizon disaster?

What is your salary? How do you finance your extravagant lifestyle and your many women?

What happened to your company's 5 (five) members of your Board of Directors that have been removed from the GRG website in the last two months?

Why has MUSKOX and F2T2 been removed from your website?

How can you prove Aeros is viable sir?

How many Engineers reports have you read that say Aeros is not viable and why do you continue selling shares knowing it cannot function as oil spill clean up apparatus?

The person who registered the original report, Ms. Marjorie Murphy, a very disturbed woman, is engaged in a slander & defamation campaign using offensive accusations and unfounded allegations. She knows nothing about the reality of our company status nor about my work to create real value for all of our 500 shareholders. Her scam report can safely be ignored.
