Equal Access Plus, Inc. represented by me Jim Blacksten, entered into a written agreement with Sandton Ventures Group, (SVG), on October 1, 2004. SVG prior to the signing of the agreement sent to us a commitment letter conveying their interest and willingness to raise financing of $10,100,000. In my meeting with Lawrence Gaber, representative of SVG on October 1, 2004, he clearly conveyed to me that there were at least three institutional investment groups that had expressed some interest to provide financing to our company. Further, Mr. Gaber indicated that if I would sign the agreement on behalf of Equal Access Plus, Inc. and pay SVG $5,400 for a contact service fee that he would go back to these three investors the following week to see if they had some serious interest to invest funds. Mr. Gaber conveyed to me that should these groups not have any serious interest in providing financing that SVG would cancel the agreement and return the full amount of $5,400 on or before October 8, 2004. SVG did not cancel the agreement or reimburse Equal Access Plus, Inc. these funds by October 8, 2004.

We went forward in good faith believing that SVG would do its full due diligence to honor, and fulfill this agreement with these three investment groups including its full network of 300 institutional investment groups. To date, we have received no evidence in writing from SVG conveying that they have specifically these three investment groups, or any other investment groups about our investment deal. Mr. Gaber has seemed to be willing to speak with me by telephone throughout this past year about other groups he has eledged to contact on our behalf even though our agreement had expired. I must point out that Mr. Gaber has not provided any specific concrete written documentation showing that he has made any of these contacts.

Please note that I am concerned that SVG is in fact not operating legally and ethically here in the state of California. To back up this statement, I have conducted some google searches on the computer, and have found that SVG is listed as Sandton Financial Group with a different address in Woodland Hills, California, but with the same telephone numbers. The address for Sandton Financial Group is, 21550 Oxnard St. Suite 300, Woodland Hills, California, 91367. When I did my second google search, I put in the key words, Sandton Financial Group from Woodland Hills California, Lawrence Gaber: here is what I came up with; KYC News Inc. - Community Message Board: Detail.
