Florida Barter Exchange, LLC v. Tradebank International, Inc. et al
Case Number: 6:2012cv01145 Filed: July 24, 2012 Court: Florida Middle District Court Office: Orlando Office County: Orange jr.: Roy B. Dalton Referring Judge: Gregory J. Kelly Nature of Suit: Torts - Property - Other Fraud
Jon P. Winand and Catherine A. Winand V. Tradebank International Franchising Corporation (District Court of Travis County, Texas, Civil Action 09-00429, filed on February 10, 2009).
I have been gathering very detailed evidence about what appear to be serious misrepresentations by Tradebank (many other of its franchisees), both before and after entering into a franchise agreement. Tradebanks franchise disclosure documents and related marketing materials are filled with unusually strong and detailed statements about earnings potential, growth potential, and so on. And Tradebank made very specific and detailed representations to many if not all of there Franchisees, via e-mails which I has saved, about the number of clients Tradebank Denver had, the value of those clients, volume of business, growth prospects, and so on. Ill give you a few examples: At the time I signed the agreement with Todd Gerry, Tradebanks marketing materials and disclosures touted the 70 markets that Tradebank was in. I have done a lot of research, and own Tradebank`s records show that of those 70 markets they were touting, 44(most of the 44 them had 3 members or less, some have 15 or less. Nobody in the trade industry would consider 3 participants to be an active or viable trade exchange of any kind. Given your clients position as a franchisor, I am confident this will be considered a material misrepresentation.Tradebank`s own records show they were knowingly making false representations on this point. Tradebank`s franchise materials touted prospective franchisees access to its international markets as well, particularly Canada. However, that until mid-2010 Tradebank prohibited U.S. franchisees from doing any trade business with Canadian franchisees.
The franchise materials make very aggressive growth forecasts, and my client was told that in part growth was assured because all Tradebank franchisees are required to enroll four new members or clients per month (or 48 per year). However, Tradebanks own records show that fully 70% of its franchises do not meet this growth requirement, and in fact most fall woefully short. A review of Tradebanks own records appears to show that a whole bunch of franchises havent signed up 48 new members, total, ever, even going back to 1994. Tradebanks franchise materials also stated that my client would have access to more than 11,000 clients. A review of Tradebanks own records appears to show that this claim is probably inaccurate by a large amount, the real figure is probably between 6,000 and 7,000 and thats not even addressing the fact that even at the lower number, a good deal of them would have been inactive or defunct clients. In fact there are only THREE FRANCHISEE making any real money. IF YOU ARE CONDERSIDING BUYING A FRANCHISE FROM TRADEBANK CALL ME FIRST. BETTER YET, CALL EVERY REGIONAL OWNER AND ASK TO SPEAK TO THEM OFF THE RECORD. ASK TODD GERRY and or JOHN DAVIS TO SEE AND PRODUCE THE RADMAN REPORTS. Tradebank international takes 40% of all the money, that the franchisee makes. PLUS the cost of the franchisee, which 35k and up. Call me 4233312001.
Suggested former franchises you call. I have all their numbers if you would like them, (Ric Zampatti, Paul Felty, Dan Pentimone, Tony Bergino, Dan Wininger, Pam Chenault, Shea Bailey, Chip Winand..)
PRESIDENT TODD GERRY CLAIMS, the first two hurdles to acquiring a critical mass which is 20 and 50 total active clients. This business is designed to be a referral based business and once you have 50 active accounts, your efforts transition from heavy prospecting to referral acquisition. The next step, or hurdle, is 100 active accounts and it is all downhill from there. Most franchisee do not make it to 100 clients so this statement is true!!! It really is all down hill.

John M Powell, there is/was no Tradebank activity in Colorado Springs, b) corporate handling of the franchise in Denver was pathetic. There's also a bit of a bad taste in my mouth over how corporate dealt with the previous owners of the Denver franchise. It was handled very poorly, and in my opinion (both by simple observance and in discussing it more with Aubyn), the Denver group shrunk quite a bit because of their sloppy decisions and non-existent follow through.

THE FRANCHISES ARE NOT THE ONLY VICTIMS IN THIS SCAM>>>>>>the client who get left behind are also impacted!!
It only takes one client in an area to expand the business, Gerry said.
There is a lot of prospecting involved in getting the first 50 clients, but after 50, it becomes a business based on referrals, he explained.
Youre building a micro-economy that is like an engine, Gerry said. Its a business that will continue to generate money through network referrals.
