BACKGROUND

AGC entered into an agreement with IDC for the sole purpose of being their representative on special projects with no regional restrictions. AGCs role was to identify, assess and make available to IDC, viable projects that needed capitalization and/or technical participation.

IDC on the second part is to capitalize same project under the terms of its Strategic Capitalization
Facility Agreement (SCFA) and where applicable provide technical expertise for the project through its partners.

        
AGC based on the above understanding, identified the acquisition of Spring Bank by NEC as a viable
opportunity and introduced same to IDC. IDC perused the documents and agreed to proceed with the opportunity. Hence, IDC made available to NEC its SCFA for perusal and signatures.

        
Based on the SCFA, IDC then requested from NEC the payment of 50% expense contribution ($37, 875) for the registration of a Special Purpose Vehicle (SPV). Refer to Section 3 A and B, Section 5A and A1 of the SCFA.

        
However, due to political reasons NEC was unable to proceed with the acquisition of Spring Bank. It was then agreed by all parties that the capitalization and SCFA be used for the acquisition of another banking license (SGBN).

        
IDC assessed the documents of SGBN, raised issues and after much clarifications and assurances decided to proceed with the acquisition. Hence, IDC issued a new SCFA with same terms for NECs perusal and signatures. AGC also signed as representatives of IDC.

        
Due to the delay in closing the Spring Bank acquisition, IDC decided to proceed with the Reverse Merger Acquisition of AIM Shelf Corp and Corporate Bond Offering for the Second round capitalization. To this end, IDC requested for the payment of 50% of NECs A2 expense contribution. Refer to Section 5 A2 of the SCFA and IDCs corporate letter to NEC on same subject.

        
The 50% payment for the A2 expense was eventually paid by NEC into IDCs designated account. Refer to attached payment details as forwarded to IDC.

     
At this time, NEC has performed its entire obligation under the SCFA and IDC tactically delayed the infusion of the initial capitalization ($250, 000, 000. 00) into NEC. AGC made all necessary attempts to communicate with IDC but the Head of Investment, ING. Christopher Feldman was always evasive and most times incommunicado.

        
When AGC saw the turn of events and that its reputation was going to be affected, it sent its lawyer to Peru to find out the position of IDC on the acquisition. On our lawyers arrival in Peru, He found out that the claimed project office was a correspondence office where IDC only received correspondence and nothing more.

        
That at this time, AGC believes that IDC presented false information to it with an intention to defraud. That up till the time NEC terminated the agreement, IDC remained incommunicado and we do not yet have their official position on the transaction or the termination by NEC. Hence, we are forced to seek means to unveil the directors of IDC, their head of investment, a refund of all monies collected and damages, expense claims since inception of the transaction.

We are aware that IDC has only 2 registered directors with Quick Formations/Companies
House UK and they are (1) Alister Tsai (Taiwanese) (2) Kurt Wahl (Swiss).

The principal person in IDC has been the Head of Investment, ING. Christopher Feldman

The only details we have on him are listed below:
