This complaint involves Luis and Heather Garcia d/b/a Honeyfrog.com, LLC (LLC ID# S150949); PC Phone Link Inc, and GPS Nanny International.
On 7/28 and 8/24/2004, after communications with Mr and Mrs Garcia, I purchased an ownership interest in PC Phone Link, a VOIP company they were starting. The amount totaled $2060.36 and was sent to Mrs Garcia.
On 10/22 and 11/22/2004, after additional communications with Mr and Mrs Garcia, I purchased an ownership interest in GPS Nanny, a second company they were starting. This amount also totaled $2060.36 and was sent to the same email via PayPal.
On 9/7/2005, Mr Garcia indicated his willingness to buy back my company's ownership interest in PC Phone Link. This was confirmed by email on 9/12. Requests for payment were sent on 9/12/2005, 10/5/2005, 11/5/2005, and 12/1/2005--with no result.
On 12/10/2005, by email, Mr Garcia indicated his willingness to buy back my company's ownership shares in the second company, GPS Nanny. Requests for payment were sent on 12/10/2005 and 1/31/2005--with no result.
On 3/7/2005, Mrs Garcia cancelled all pending payment requests. On 3/8/2005, a new request was sent to her, with no response received.
I would like to receive my company's $4120.72 refund as promised.These companies are substantively run out of the Garcias' home in Floyd County VA but are incorporated in various locales. Honeyfrog.com, LLC was incorporated in Virginia around 4/12/2005.
According to the Garcias, PC Phone Link Inc is incorporated in the British Virgin Islands. The BVI Registrar of Corporate Affairs advised me on 5/18/2006 that no such company is registered there.GPS Nanny International was incorporated in Nevada on 10/5/2005.
At no time was I, supposedly a part-owner, informed of the completed incorporations--or provided with financial statements.
There is a complaint on file against these companies with the BBB of Western Virginia. In addition, the Virginia State Corporation Commission imposed a temporary injunction on Mr Garcia from 10/28/05 to 4/5/06 for alleged securities law violations. The case number is SEC-2005-00052.
All of the above information is documented and verifiable. I will update as more info is obtained.
