The Company Corporation Compliance Watch Total rip-off & unprofessional Internet

When I relocated to the Hampton Roads area, I was looking for a way to move my Florida LLC to Virginia. My parents own a small business in the area & mentioned utilizing a company to make the transition smoother. My Florida LLC had not had much business at all & I was looking to expand into the Virginia market & eventually find a way to make it grow.

I contacted The Company Corporation online & was immediately set up with a Virginia LLC. They mailed me several packages to help get the business started. However, no one was able to guide me in the process of moving my Florida LLC to the newly created Virginia LLC. I emailed & called them several times for guidance & was directed towards a marketing scheme, where they invited me to conferences in Vegas. Of course, I declined & decided that my time was better spent with graduate school.

I put my small business plans in the back burner, but continued to pay my fees in Florida for the LLC there & the new outrageous fees for the inactive Virginia LLC. $235 was charged to me annually from The Company Corporation. When I spoke to my parents about this, they said it was ridiculous that I was paying this fee for a LLC that I was not even utilizing & that I needed to immediately dissolve my inactive Virginia LLC. I started the process by submitting the necessary paperwork to the state. I also informed The Company Corporation of my plans to dissolve the Virginia LLC.

I was under the assumption that everything was taken care of when I received yet another annual bill from The Company Corporation. I figured there must be an error in their system & perhaps they had not yet updated my cancellation. A few weeks later, I received a notice to pay the bill. Again, I figured there must be some sort of error & delayed calling them to inquire. A few days later I received a very rude call from a customer service representative. She demanded that I give her my payment information right that very second, over the phone. I explained to her that there must be some sort of error in their system because I had cancelled my account & dissolved my Virginia LLC. She informed me that no cancellation was on record, nor did the state have any record of my dissolution. I was shocked and did not know what to do. She threatened to send my bill to a collections agency & I freaked out.

I told her I would submit a payment online for the full balance, but asked what would happen if I cancelled immediately & also filed for another dissolution with the state. She swore to me that once the dissolution forms were received and the state notified them of the status, they would reimburse me from that date on for services not utilized. I said that was fine. This was last summer.

I never received a dime from The Company Corporation. I figured I would simply cut my losses. I did receive a letter from them informing me that the state was going to automatically dissolve my Virginia LLC because I refused to pay the annual $50 fee. This is after I had already submitted yet another form to dissolve the LLC myself. I recently received yet another email from The Company Corporation, with an invoice for yet another $235 for service & state statutory representation. How are they representing a LLC that does not exist?? I guess I am going to have to call these idiots once again!!!
