As a former administrative employee of this group of companies I personally witnessed fraudulent, misleading, and "doctored" financial and insurance, and marketing information being provided to smaller non-public companies to entice them to trade their stock for the stock of the companies listed in this report.

After the smaller companies' stock was 100% "acquired" by the companies, officers, and directors of the companies listed in this report the cash and assets were systematically stripped out of the companies and when nothing was left the employees were terminated and the company closed.

They breached the contracts knowing the smaller companies did not have the resources to hire attorneys who were competent enough to handle such a convoluted and extended suit.

The officers and directors went to great lengths to provide fraudulent information to the employees of the companies being acquired about being able to sell their stock for 5 to 7 times what it was selling for at the time. They were able to acquire and strip 4 companies that I am aware of.

The owners and stockholders of the "acquired" companies were left penniless and without compensation for the years of efforts they put into building their businesses.

If you are an owner, officer, or director of a small company who is being offered the opportunity to sell your company for stock in any of these companies or through any of these individuals - get all your cash up front a solid contract that they cannot come back after you.

Brian Bonar - he has a history

And I think everyone who invests in one of his "enterprises" should be aware of it.

Brian Bonar - had to pay for ITEC. But I bet he still made money.

STTN will go the same way as the rest of his corporations, drain the money and shuffle the assets offshore and to individuals.

That is the address of Averillo Services Inc.. It is listed as corporate secretary. It was run by Peter Nellemose. His companies
were brought up three times for investigation of money laundering in the UK. I couldn't find the resolution of these cases on line, but Nellemose reincorporated quite a few times.

SEC?

The SEC may be the only game in town, but unfortunately they rely on the information provided by the companies who report to be correct, complete, and accurate.  There are not enough investigators, FBI agents, or other law enforcement agencies to ride herd on the smaller public companies and the CEOs and CFOs know that. 

When I filed a complaint with the SEC I was told "off the record" that the SEC only went after companies who were large enough to make a major impact and be newsworthy.  And none of the companies these guys are involved with are large enough to be newsworthy.  If you lose everything you have it will be a non-event to the media and these guys know it.  They are really good a massaging the numbers and investor relations. 

So don't be fooled by the "safety" of an SEC report.  Numbers are easy to manipulate and people are even easier.

I know.  I lost everything to them.

I am a current shareholder of Smart Tek public stock with the CEO being Brian Bonar. I can tell you that I have called the company numerous times and spoken with Mr. Bonar. There has been no wrong doing that has gone on since I have been a shareholder. In fact, revenues have been growing since I have been a shareholder. Please verify your own facts and dont believe everything that people on message boards that are unedited. Rely on SEC documents only.

Obviously, someone out there is very unhappy with what they received as a result of being acquired by ExpertHR or ITEC/Delrada and unfortunately, I dont actually know if owners were misled.  I did work for Expert HR from May 2003 until June 2004. Thirteen months. 

 

This letter was written fifteen months after I left.  To the best of my knowledge, I never met Tom, the writer of this letter.

 

I was hired as Director of Workers Comp. and my duties were to straighten out comp., operations and help with IT.  I did not have involvement in mergers & acqusitions.  I never attended a single meeting to discuss purchasing companies, stock valuations or contract negotiations.  Not one. 

 

For that matter, I doubt that Tom did either.  I say that for two reasons.  First, owners talk one-on-one to owners when negotiating sales of their companies, not with groups of employees including admin. assistants.  Second if he were there, he would have known that I wasnt

 

So we are left with someone I never met, critisizing me for misleading information presented in meetings that neither of us attended.

 

I can say this.  While I was there, no one ever came to me and said they thought any reports or data that I had prepared, or anything that I said was misleading.  Not Tom.  Not a single owner.  No one ever came to me and said they didnt receive a payment, either in cash, in stock or in any other form.

 

I dont know if I could have done anything about it, but if you are going to link me to a problem, at least let me know what it is while Im there.

 

If you want to talk about whether invoices were calculated correctly, workers comp. was reported correctly or health was billed correctly, I have first hand knowledge.  We switched software platforms twice in the 13 months I was there.  I can speak to the challenges that caused.  As far as what former owners were promised or received, I honestly dont know.
