The iCare business opportunity is a ripoff. The contract guarantees during start-up to provide 50-100 leads, , ads, marketing materials, a website, business cards, training, etc. It claims to be worldwide when in reality there is one person that handles training, sales, support, help desk, software installs, etc., The software at best is a free shareware product. Several of the customers listed on the website are unaware that they are being displayed. You're promised to meet and be introduced to others that have bought into the business once the deposit is made but that never happens. Three training classes were scheduled and each time they were canceled for some outrageous excuse. The "if you promisses" are not true as well. There is a formual that is presented that says "if 10 reps doing 1 sale a week give you X" all hogwash. I can go on with the inadequates of iCare but I won't.

 

In addition this company has an "F" rating with the better business buero. Also, listed in the public records of the Cherokee County courts of the State of Georgia the owner has a crimial record. If you choose to do business with iCare I would suggest getting a business address and phyically checking it out. At this point the business addresses listed are no longer valild.

AJ signed a Term Sheet outlining the terms of the license and distribution agreement; and he also signed a license and distribution agreement to sale our iCare Patient Credit Product. 
Copy of Term Sheet Listed Below: No where in the Term Sheet did we promise to provide 50-100 leads, ads, a website, business cards or have we claimed anywhere to be worldwide...however, we have merchants form California to Virginia to Georgia to Alabama to Florida etc.
We have 24/7 support for all merchants concerning their software and any funding questions.  Please feel free to call me at 770-712-7811 and I will give you the 1-800 #.
Our software is proprietary and is currently processing for thousands of merchants nation wide. Feel free to call any merchant on our website-www.icarepatientcredit.com They are all aware of our services and will glady speak of how reliable our software has been to their business. We have only place a few of the businesses on our site...we will glady give you several referrals...just ask!
AJ never got out of bed and called on the first merchant...he wanted to focus on sublicensing the iCare Product: his email---" Bruce/Wayne my goal is to sell licenses and less on the product sales end. That being said I would like to meet with both you and Wayne this week to discuss marketing strategies. Not sure what was done in the past so I would like to know that, as well as I have some ideas. My goal is to target savvy entrepreneurs and the way this program stands the product needs a solid marketing and training overhaul. For what I've received this far a lot of holes need addressing. I'll adjust my schedule this week to fit yours let me know."
If you notice in his emial he wanted to discuss marketing strtegies...funny that is what he says on his website:  www.http://www.ebmds.com I don't even want to get into how AJ runs his business...none of the events on his site were coordinated by him or his one employee.
The formula AJ speaks of consist of revenue if he hires sales people to work for him vs. him going out to sell the iCare product.  The price point is $995...if he pays his sales people $500 on each sale and he had 10 sales people, he would make over $18,000 per month if each sales person only sold 1 merchant per week...doesn't take a rocket scientist to know numbers don't lie...one sale per sales person is not unreasonable...there are over 4800 dentist in Atlanta, 2400 Chiropractors, etc.
iCare does have a "F" rating with the Atlanta BBB...I didn't answer a complaint because I never received the compaint...we  have one complaint filed in 3 years...but I have tried to contact the merchant that was sold by one of our Licensee.
I personally don't have a criminal record...have I ever had a misdemeanor yes.  So has The President of the USA...public record...check it out for yourself.
The licensee agreement states all fees are non-refundable!  AJ still owes our company $2500.  He filed a civil case and it was dismissed...check it out...He is an idiot!

Terms of License:                      Software Payment Solutions (SPS) will provide a Distribution and License Agreement to LICENSEE for the use of iCare Payment Solutions in North A merica with the exception of Alameda County, California; Agreement term will be 5 years with rights to distribute IPS inside North America using proprietary payment software and technology.
 
Set Up Fee:
Per Merchant   
            One time Merchant setup Fee    -$50.00
A net revenue share of 50%-50% will be shared between LICENSEE and Software Payment Solutions for all recurring revenue generated for the processing fee of 5% per merchant.
 
 
 
LICENSEE                                 LICENSEE agrees to the following:
Responsibilities:
a)       All marketing materials used for IPS require the approval of Software Payment Solutions.
 
b)       Only the domain www.icarepatientcredit.com will be used to promote IPS in North America over the Internet. Unless agreed to in writing by both parties.
 
SPS will provide:                       Within two days after the signing of this agreement, SPS agrees to provide to LICENSEE the following:
 
a)       Completed CD and or soft email copy with all current marketing materials.
b)       Provide all billing and collection for any and all of LICENSEE participating clients.
                                               
Within two-weeks:                    a)   1-day of on-site training for LICENSEE, staff and or agents which will be scheduled at closing of the Agent and Distribution License Agreement.
 
 
 
Non-compete:                           While LICENSEE is granted rights under the Distribution and License Agreement by SPS; and for a period of two (2) years thereafter, LICENSEE agrees that Officers, Employee, Shareholders or Members will not directly or indirectly negotiate, solicit, advise or recommend to any other person or company who utilized the services of SPS, LICENSEE or IPS, that such person or company change, or cause to change their relationship with SPS, LICENSEE or IPS.
 
 
Conditions to Closing:                Closing shall be subject to the standard and customary conditions, including the completion of due diligence regarding standard and customary matters and satisfactory to both parties and their legal counsel. Proposed closing date will be prior to ___________, 2009.
