I do understand the issue.  In our LOI the first $10,000 is for our SEC attorney to prepare the Regulation D 506 documents.  He is like other attorneys in that he wants to be paid for his work when he does it.  He doesn't have a vested interest in any particular company so he isn't interested in waiting until a transaction funds to get paid.

The other $10,000 pays for our talented and experienced telemarketers who are willing to wait till a deal funds to get paid.  This is the best we can do.  Best wishes to you.
