I run a small consulting business that entered into a contract to work with Dynamic Energy Alliance Corporation (OTC: DEAC), a company run by a Mr. Charles R. Cronin, Jr. I honored my end of the contract through expiration, performing and fulfilling the work covered by the contract throughout the life of the contract. Mr. Cronin’s company is in arrears on over 45% of the compensation due me per the terms of the contract, and not only has Chuck Cronin not even tried to work out a solution, for several months any attempt I made to contact him to collect has gone unanswered like I don’t exist. He’s adamant about the fact that he runs Dynamic Energy Alliance when he wants something, but when it comes to payment, he hides behind the flimsy excuse that “the Chairman has no authority over payables”- his words by the way- meaning he’s passing the buck onto people to whom he dictates then not allowing them to make good on the obligation. Like I said, I am a small business owner. I work straight up and honestly with people. When a client decides not to pay me, it hurts. Like most small businesses today, I am not easily able to absorb the loss associated with being stiffed on a job.

Mr. Charles R. Cronin Jr. is the Chairman of Dynamic Energy and it is with him that the details of the contract were created and per his instruction, it was to him that I reported and from him that I got my assignments, not the CEO or President as would be the typical chain of command for the type of work I perform. It is a publicly held company that I believe has some value so I am not interested in trashing the company or hurting its ability to execute its mission. During the course of the contract, Charles R. Cronin, Jr. wouldn’t hesitate to contact me with comments or complaints, however, when I had the “audacity” to ask him to honor the contract and pay me, I suddenly became persona non grata. In addition to “running” the company (Chuck Cronin has been essentially acting as the CEO and President too), Mr. Cronin is the Marketing and Technology Consultant for Transformation Consulting in Thousand Oaks, California where he apparently performs “alternative energy alternatives” to traditional gas generated power plants.

The company has a board of directors that appeared to constantly acquiesce to Mr. Cronin. I do believe that as board members who readily accept compensation for their services, there is a degree of culpability on the issue of my contract going unpaid. In other words, whether in cash or stock, you’re getting paid and the honorific attached to your Board membership (and whatever, if any, benefits that might extol unto you), your heads can’t be in the sand all the time. The other board members include:

  • Dr. Earl Beaver, Chair Emeritus of the Institute for Sustainability (New York), Managing Partner of Practical Sustainability, LLC (St. Louis), Senior Technical Advisor of RJLee Group Inc. (Pittsburgh) and Chair, National Accounts Committee for the Global Footprint Network and former Monsanto executive, Chesterfield MO
  • Fiona Sutton, Chairman of Select Contracts Group, Whistler BC
  • Harvey Dale Cheek, HDC & Associates, Alpharetta GA
  • Karl Johnson, Recovery Holdings, LLC, Memphis TN

My plan is to seek a legal remedy if restitution is not made in a reasonable time period, with that period shrinking each day I’m ignored. Charles R. Cronin Jr. is well aware of the amounts owed per the terms of my contract so I won’t repeat them here. They’re not huge by any means, but they mean something to me. In addition, I am not seeking a “settlement” with Dynamic Energy Alliance but full restitution. When I informed him that I was thinking of posting something on Ripoff Report, he offered me stock purchase warrants as restitutions. For those who aren’t familiar with warrants, they allow you to BUY common stock at a fixed price for a period of time. Yes, he wanted to pay me what he owed me by granting me the “privilege” of buying stock.

I urge other vendors- particularly those in the energy (midstream and downstream predominantly), engineering and chemical engineering sectors- and particularly vendors in the state of Texas (the California based Mr. Cronin apparently thinks Texans are rubes he can swindle, even as he promotes his first “energy campus” near Dallas to which supposedly Technip, Ventech, Jacobs Engineering and EcoSystems Environmental, Inc. all contributed ) to exercise extreme caution if approached by Charles R. Cronin Jr. to do work for any of his companies, whether it be Dynamic Energy Alliance, Transformation Consulting or anything else. I would insist on getting the full value of the contract paid up front in cash. And by extension— due purely to their association with Mr. Cronin and no other reason, I can only urge anyone thinking of doing business with the directors mentioned above to likewise exercise caution.

Dynamic Energy Alliance Corporation (DEAC) is now trading as Elite Data Services Inc, a GAINESVILLE, FL company.

It would appear that DEAC was sold for US$1 to Habanero Properties Ltd, a Belize corporation.

An ASSIGNMENT AND ASSUMPTION AGREEMENT was signed on September 30, 2013, by and among Harvey Dale Cheek and Charles R. Cronin, Jr. and Habanero Properties LTD.
