Devils incarnate is a christain who loves God and God loves her.
Bedroom; Jennifers business is a lawfully and legitimate company.
Her next victims; Jennifer has never, ever, stolen a penney from anyone in her life.
She is the most just, upright and decent person I have ever known or met. The person posting this trash is obviously a competitor and needs americans prayers. We should just pray that God forgives him. My prayer is that you will find God and be able to restart your life.

I am an ex-employee of Digital Vision, owned by Seamus . Seamus is an unbelieveable low-life that knows quite a bit about technology. As you will note, he posted his comments on October 16, 2008 after locating my post in regards to his withholding of my paycheck in August 2008. He will be heard by the Department of Labor in regards to his illegal action. He has defaulted on lease agreements, failed to pay employees, defrauded ListedToday and ValueMyHouse customers by claiming to pay for advertising that he constantly fails to deliver. I guess he thought that I was such a thief that he offered me ownership in his business per the messages below:

I am not sure what the confusion is regarding cpixx since you are correct we will make 50% of the sale not 100% of any sale as we do now and yes you and the sales people will get a comission. And also when we sell it you will also get a percentage but since this is not owned by Digital we have to do a separate agreement

Hmmm. This is the kind of stuff that creates confusion. Why did we do the ad page for cpixx and why have we discussed the sales team selling it? I guess I am confused.

Likewise with Built in China; who knows if it will ever be sold, in my opinion that is not the point. My issue is this; I have been taking on most of the responsibility with the real estate businesses so that you can focus on BIC. Likewise, I have been helping with cpixx and BIC so that they can help support the real estate businesses. I guess my feeling is this: I don't get paid for BIC at all right now, I don't get paid for any of the cpixx support that I have done to date but I feel like you want me to blow it off. The 10% thing is what has motivated me to work 17 to 20 hour days. I don't consider my salary to cover all the extra hours, because it is basically "sweat equity" done well past an 8 hour shift.

If any of us, myself included are going to sell the cpixx offering, we need to provide some sort of compensation to the sales team. My understanding is that Digital Vision will get 50% on the real estate sales that we secure. 10% paid to myself and the sales team on real estate sales for cpixx seems reasonable to me. That still leaves you with more than half the sales revenue on every transaction.

We really need to talk about the little "details".

ELA will not be an issue since that is allready registered under Digital. Cpixx is a separate company and unlike vmh-LTD or ELA we will not be either building sales or really marketing this company with the exception of whatever we get in commisions from CPIXX from any agents. BIC will most likely never be sold although as you are aware any money BIC makes goes into Digital right now.

Hi Seamus,

I updated the attached independent contractor agreement, based on our most recent discussion. I am not sure what your reaction will be, but I changed page 1 to reflect the $1k increase and the addition of ELA , cpixx and BIC. The last 2 references are the items in question to me. I left a copy on your desk for review, too.

Lastly, with Jonathans document, the stock purchase agreement; I see no reference to the 10% shares. I only see the 5.5% shares. Am I missing something or could the two items not be integrated into one agreement? Meanwhile, I did forward a copy of the stock purchase agreement to my lawyer and CPA.

Let me know what you think of everything and thank you for the follow up.

Thanks

Please find attached the revised purchase agreement with Jennifer. The important features of the document are as follows:

2) The stock is subject to a buyback by the company in the event Jennifer is no longer providing services to the company. The company has 90 days to exercise this repurchase right after Jennifer's service terminates.

3) The company has a right of first refusal in the event that Jennifer desires to transfer shares to a third party, other than her immediate family.

After you have had a chance to look at the document, please contact me to discuss any questions that you have.
