VINESSE American Cellars Unauthorized membership fee without consent and no refund California

I received their letter stating that in order to get around a California restriction on wine club practices, they would start imposing a membership fee, and then give me credit for the same amount for future purchases.  There was no opt-out provision. 

My credit card on-file was then charged $30 on the date of the letter. I requested them to cancel my membership and refund the fee, and they refused, saying it's in the terms of service.  But I had never agreed to this term.

Their wine is actually OK, but this practice, along with scheming to get around California laws, puts their business practice in question.
