Received a flyer last night telling me that after review of my credit, I am PRE_QUALIFIED for a new restrutured auto loan with a lower payment and lower interest rate than what I pay today.  

Further down on the letter, it says that they CANNOT restructure the loan with out my approval.  

I bit at the offer since they promised to lower my payments $61.49 a month.  I could really use the money for diapers with a new born.  I went online and did what I was told, had a response within 10 mintues, DENIED!  What?  WAIT?  But I was pre approved, after you looked at my credit...before I even contacted you???

BTW, I work at a car dealership, I went to my boss, he told me this was a scam, but I thought I would try anyways...I guess car dealerships aren't so sleezy...just the finance companies.

No third party can modify a written loan agreement

The only way to modify a loan agreement is to either work with the original lender and get a written modification to the contract or refinance with another lender. Most, if not all, of the auto lenders will NOT modify their loan with you under any circumstance.

The way to pay a lower payment is to reduce your interest rate or pay it over a longer period of time (which is not a good idea). In order to do either (reduce rate or extend time) you have to refinance with another lender. 

Any solitation you get in the mail or phone or online to modify your current loans both secured and unsecured is a scam. Don't do it.

By the way, I take issue with your last statement: "...I guess car dealerships aren't so sleezy...just the finance companies."

Both car dealership sales reps and the representatives for financing (F&I person) are sleezy. The fact that you got another sleezy invitation to modify your loan doesn't absolve the car dealerships from their own sleezy tactics!
